SEBI (ICDR) Amendment & new format under Cl 35 of the Listing Agreement
   
1. SEBI has vide its Notification dated 23rd September 2011 issued Securities and Exchange Board of India (Issue Of Capital And Disclosure Requirements) (Second Amendment) Regulations, 2011, thereby bringing in certain Amendments in the ICDR Regulations and inter alia inserting a new Chapter, Chapter XA – Rights Issue of Indian Depository Receipts and renaming the extant Chapter XA as Chapter XB.

2. Further, in consonance with the promulgation of the new SEBI Takeover Regulations, 2011, the format of disclosure of shareholding as provided under Clause 35 of the Listing Agreement in respect of following has been replaced. SEBI has advised the Stock Exchanges to accordingly amend the Listing Agreements:

  • Statement showing holding of securities (including shares, warrants, convertible securities) of persons belonging to the category “Promoter and Promoter Group”;
  • Statement showing holding of securities (including shares, warrants, convertible securities) of persons belonging to the category “Public” and holding more than 1% of the total number of shares;
  • Statement showing holding of securities (including shares, warrants, convertible securities) of persons (together with PAC) belonging to the category “Public” and holding more than 5% of the total number of shares of the company.
