As huge relief to the profession of Company Secretary, MCA vide its notification no G.S.R. 390(E) dated 9th June 2014 has amended the provisions related to appointment of company secretaries in companies under the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014

As per amendment now a company other than a company covered under rule 8 which has a paid up share capital of five crore rupees or more shall have a whole-time company secretary

So the requirement of appointment of whole-time company secretary is applicable on following companies

• Every listed company
• Every other company having a paid up capital of Rs 5 crore or more
