MCA vide notification no G.S.R. 791(E) dated August 12, 2016 has amended the Companies (Share Capital and Debentures) Rules 2014 through the Companies (Share Capital and Debentures) Fourth Amendment Rules, 2016.

Pursuant to the amendment, it has been provided that for issuing rupee denominated bonds issued exclusively to overseas investors in terms of A.P. (DIR Series) Circular No. 17 dated September 29, 2015 of the Reserve Bank of India, Rule 18 of Companies (Share Capital and Debentures) Rules 2014 related to issue of debentures , need not to be complied with.
